1. All offers are without engagement, depend on availability of the aircraft and are subject to
all traffic rights.

2. Terms and Conditions of Transport

The subject of this contractual agreement is the transport of passengers and/or goods from
point of departure to destination as stated in the Elite Jets FZCO charter quotation. The
Charter customer does not have any further rights, especially direct or indirect influence
on our personnel and the aircraft. To place a reservation a down payment of 25% is
required. The reservation will only be confirmed when funds are in our bank account and
signed conditions of carriage have been received. Down payments are fully refundable
prior to 72 hours of the scheduled departure time. Thereafter, cancellation fees will apply
as per article eight (8) apply.

3. Charges

The prices stated in the offer are firm and calculated according to the customer’s
individual requirements. Should a calculation be based on the actual flight time in
minutes, the additional costs (handling, per diem and night stops) will be calculated
separately as flat rates. Extra costs due to necessary operational changes may be charged
at a later date.

4. Limited Liability

The transport of passengers is regulated by the Warsaw Agreement. The operator’s
liability for death or injuries of the passengers as well as loss or damage of the luggage is
limited accordingly.

5. Basis of Calculation

The stated flight times are considered operational hours. Timing starts with the engine
start-up and ends with the engine shut-down.

6. Availability

Elite Jets FZCO reserves the right to provide, at any time, the Charter customer with
another aircraft should the offered / booked aircraft be unavailable. Elite Jets FZCO may
charge all extra costs arising from this to the Charter customer; however, the Charter
customer may cancel the flight should this be the case.

7. Terms of Payment
Transport of passengers and/or goods stated in our offer is usually payable immediately.
In general the flights are performed against advance payments only. In case of invoicing
payments are to be made immediately without any deduction. A payment which has not
been received within 14 days of the invoice date is considered late and actual interest
charges shall duly be added to the initial amount. Special charges and cancellation terms
apply for flight options as stated in the respective offer.

Payment Details

At least 72 hours prior to scheduled departure 25% cancellation fee applies
At least 48 hours prior to scheduled departure 50% cancellation fee applies
At least 24 hours prior to scheduled departure 75% cancellation fee applies
Within 24 hours of the scheduled departure 90% cancellation fee applies
After the scheduled departure 100% cancellation fee applies

9. Severability
If any one or more clauses of these terms shall be found to be illegal or unenforceable in
any respect, the validity, legality and enforceability of the remaining clauses shall not in
any way be affected or impaired thereby.

10. Applicable Law / Place of Jurisdiction
The parties hereto agree that this provision and this agreement, all transactions executed
hereunder and all relationships between parties in this connection shall be construed
under, governed and interpreted in all respects by the laws of the United Arab Emirates.
The United Nations Convention on Contracts for the International Sale of Goods shall not
apply to this agreement.

All disputes, controversies or differences which may arise between the parties out of or in
relation to or in connection with this agreement, or in the breach thereof, shall be
exclusively settled by the Courts of the United Arab Emirates.
